The rules for using adcrate.com and engaging with Adcrate Ltd..
These Terms & Conditions ("Terms") govern your use of the website at adcrate.com (the "Site") and any services provided by Adcrate Ltd. ("Adcrate," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms. If you don't agree, don't use the Site.
You agree to use the Site only for lawful purposes and in ways that do not infringe the rights of, restrict, or inhibit anyone else's use of the Site. You will not:
All content on the Site — including text, graphics, logos, images, videos, design, and code — is owned by Adcrate or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and download materials for personal, non-commercial reference only. Any other use, including reproduction, modification, distribution, or republication, requires our prior written consent.
"Adcrate" and the Adcrate logo are trademarks of Adcrate Ltd.. Client brands, product names, and logos referenced on the Site remain the property of their respective owners.
Any engagement between Adcrate and a client is governed by a separate written agreement (the "Master Services Agreement" or "MSA") and any corresponding statement of work. In the event of a conflict between these Terms and an MSA, the MSA controls for the subject matter it covers.
Applications submitted through the Site do not create a contractual relationship. We review applications at our discretion and may decline to engage any applicant for any reason.
Fees for our services are set out in the applicable MSA or statement of work. Unless otherwise agreed in writing, invoices are due on a net-7 basis from the invoice date. Late payments may incur interest and suspension of services.
Adcrate uses reasonable skill and care in delivering creative services. However, advertising performance depends on factors outside our control — including your product, offer, market, landing page, fulfillment, pricing, platform policies, and market conditions. We do not guarantee any specific business outcome, revenue figure, return on ad spend, or cost per acquisition.
You warrant that you own or have the necessary rights to any materials you provide to us (product footage, imagery, copy, testimonials, etc.) and that our use of those materials will not infringe any third-party rights. You are responsible for reviewing, approving, and publishing final creative, and for ensuring your advertising complies with applicable laws and platform policies.
Our services involve third-party platforms (such as Meta, TikTok, Google, YouTube, and others). Your use of those platforms is governed by their own terms and policies, and we are not responsible for their conduct, outages, policy changes, or decisions to suspend or reject your ads. The Site may contain links to third-party sites — we're not responsible for their content.
We treat client information, strategies, performance data, and any materials marked or understood to be confidential as confidential, and we expect the same from you with respect to our methods, pricing, and non-public information shared during an engagement. Confidentiality obligations are detailed further in the MSA.
The Site is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
To the maximum extent permitted by law, Adcrate will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Site or our services. Our aggregate liability for any claim arising out of these Terms or the Site will not exceed one hundred US dollars ($100). Liability under an MSA is governed by the cap set out in that agreement.
You agree to indemnify and hold harmless Adcrate, its officers, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Site will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. The updated version will be posted here with a new "Last updated" date. Continued use of the Site after changes take effect means you accept the revised Terms.
